Terms of service

These terms govern access to and use of Audun, the account servicing platform provided by Audun Inc., a Delaware corporation (file no. 10668339) ("we", "us"). By using Audun, the business customer ("Client", "you") agrees to these terms. Where a separately signed agreement exists between us, that agreement takes precedence.
1. The service
Audun is software that lets a Client communicate with its own customers about those customers' accounts — including account notifications, service conversations, payment reminders and payment plans — across email, SMS, letter, voice and connected messaging channels. We provide the software; the Client decides what is sent, to whom, and when, within the controls the platform enforces.
2. Accounts and access
You are responsible for keeping credentials secure, for the acts and omissions of your users, and for ensuring that only authorised people have access. Notify us promptly of any suspected unauthorised access.
3. Your responsibilities for messaging
You are the sender of the messages you send through Audun. You are responsible for ensuring that:
- you have a lawful basis and, where required, valid consent to contact each recipient on each channel;
- the content of your messages is accurate and not misleading;
- your use complies with applicable law in each market you message into, including data protection, electronic communications and consumer protection law;
- your use complies with the terms and policies of each connected channel provider, including the WhatsApp Business Messaging Policy where you connect a WhatsApp Business Account;
- you honour opt-out requests and do not attempt to circumvent the platform's consent, frequency or eligibility controls.
4. Connected channel accounts
Where you connect an account you hold with a third-party channel provider — such as your own WhatsApp Business Account — that account remains yours. You grant us permission to operate it on your behalf for the purposes of the service. You may revoke that permission at any time. The channel provider's own terms apply to you directly, the provider bills you directly for its messaging charges unless we agree otherwise in writing, and the provider may suspend or restrict your account under its own policies.
5. Acceptable use
You may not use Audun to send unlawful, deceptive, harassing, threatening or abusive messages, to send unsolicited bulk marketing, to impersonate another business, to circumvent a recipient's opt-out, or to attempt to gain unauthorised access to the platform or to interfere with its operation.
6. Data protection
We process personal data on your behalf as your data processor, under a data processing agreement that forms part of our contract with you. Our privacy policy describes what we process and how. You remain the data controller for your customers' data.
7. Fees
Fees for the platform are as set out in your order form or written agreement. Charges levied directly by third-party channel providers for message delivery are separate and are billed to you by that provider unless expressly agreed otherwise.
8. Intellectual property
We retain all rights in the platform and its underlying software. You retain all rights in your data and content. You grant us only the rights needed to provide the service to you.
9. Availability and support
We aim to provide a reliable service and will give reasonable notice of planned maintenance. Service levels and support commitments, where agreed, are set out in your agreement.
10. Suspension and termination
We may suspend access where required by law, where necessary to protect the platform or its users, or where use materially breaches these terms — giving notice where we reasonably can. Either party may terminate as set out in the written agreement. On termination we will return or delete your data in accordance with the data processing agreement.
11. Warranties and liability
Except as expressly stated, the platform is provided without further warranty. Nothing in these terms limits liability that cannot be limited by law. Any other limitations and caps on liability are as set out in your written agreement.
12. Changes
We may update these terms. Material changes will be notified in advance to Clients, and the date at the top of this page will be revised.
13. Governing law
These terms are governed by the laws of the State of Delaware, United States, and the state and federal courts located in Delaware has exclusive jurisdiction, unless your written agreement states otherwise.
